  6. Intellectual Property: This Agreement does not transfer any BALLOT ACCESS MARKETING or third-party intellectual property to you. All intellectual property rights related to the Website or any content therein remain with BALLOT ACCESS MARKETING.

It can only be modified by a signed written amendment from an authorized BALLOT ACCESS MARKETING executive or by posting a revised version by BALLOT ACCESS MARKETING. This Agreement and any use or access to the Website will be governed by the laws of North Carolina, U.S.A., excluding conflict of law provisions. Any disputes arising from this Agreement will be handled in the state and federal courts located in Forsyth County, N.C. Any action for infringement of intellectual property rights can be brought in any competent court without a bond. Any other dispute will be finally resolved by arbitration in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. (“JAMS”), by three arbitrators appointed according to the Rules. The arbitration will occur in Winston-Salem, NC in English and the decision can be enforced in any court. The party prevailing in any action to enforce this Agreement will be entitled to costs and attorneys’ fees. If any part of this Agreement is deemed invalid or unenforceable, it will be interpreted to reflect the original intent of the parties, and the rest will remain in full force and effect. Either party’s waiver of any term or condition or any breach will not waive any other term, condition, or breach. You may assign your rights under this Agreement to any party that agrees to its terms and conditions; BALLOT ACCESS MARKETING may assign its rights without condition. This Agreement will bind and benefit the parties and their successors and permitted assigns.
